Please read these Terms of Service (“Terms”, “Agreement”) carefully before using the website, purchasing coaching packages, or engaging in services offered by Health & Wellness Coach — Alex (“Company”, “I”, “me”, “my”).
By accessing our website, purchasing a product, or participating in coaching sessions, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access the website or use our services.
1 – Eligibility & Scope of Services
Services are available to clients age 13 and older. Clients under 18 require written consent and signature from
a parent or legal guardian. The services provided consist strictly of health, behavioral, habit, and goal accountability coaching. Coaching is a collaborative partnership designed to help you discover your own solutions, track routine consistency, and execute personal goals.
2 – No Medical Advice Disclaimer (CRITICAL)
IMPORTANT MEDICAL DISCLAIMER:
I am a certified behavioral and wellness coach. I am not a licensed medical doctor, psychiatrist, psychologist, registered dietitian, or clinical mental health counselor.
My services, website content, and materials are for informational, educational, and habit-accountability purposes only. They do not constitute, and should never replace, professional medical advice, diagnosis, counseling, or treatment.
Always seek the advice of your physician or other qualified healthcare providers with any questions you may have regarding a medical or mental health condition. Never disregard professional medical advice or delay seeking it because of something you have discussed in a coaching session or read on this website. If you are experiencing a medical or mental health emergency, call 911 or your local emergency services immediately.
3 – Client Responsibility & Expectations
Coaching is a collaborative process that relies on the active participation of both the coach and the client. During coaching sessions, we work together to explore your goals, values, motivations, challenges, and strategies for achieving meaningful and lasting change.
While coaching sessions provide guidance, support, and accountability, lasting results depend on your personal commitment and willingness to apply what you learn. You are responsible for taking action, following through on your decisions, and maintaining accountability for the choices and behaviors that influence your progress in daily life.
- Self-Discovery and Personal Responsibility: As the client, you acknowledge that you are the expert in your own life. You are responsible for your personal choices, decisions, actions, and lifestyle changes. Coaching is a collaborative process designed to support your growth, self-awareness, and goal achievement. While I will provide guidance, encouragement, and accountability, the results of coaching depend on your commitment, participation, and willingness to implement the changes you choose to make.
- Assumption of Risk: Lifestyle changes involving exercise, nutrition, stress management, sleep, and behavior modification involve inherent risks. The Client voluntarily assumes all risks associated with these lifestyle adjustments and coaching participation.
- No Guarantees: I am fully committed to supporting and guiding you throughout the coaching process. However, coaching is not a guarantee of any specific physical, emotional, professional, financial, or personal outcome. Coaching is designed to help you increase self-awareness, identify patterns and behaviors, develop sustainable habits, and create strategies that support your goals and personal growth.
- Results vary from person to person and depend on many factors, including individual commitment, consistency, motivation, effort, circumstances, and willingness to implement the actions discussed during coaching sessions.
- While meaningful change is possible, lasting results require dedication, personal responsibility, and ongoing effort. The coaching process provides support and guidance, but your progress ultimately depends on the choices and actions you take outside of our sessions.
4 – Payment agreement, Subscriptions, and Billing
By purchasing a package or subscription, you authorize us to charge your credit card via our secure third-party payment processors (e.g., Stripe, PayPal, etc.).
- One-Time Packages: Must be paid in full or via agreed-upon installment plans prior to commencing coaching sessions. You can pay with a one-time purchase or in two installments.
- The first payment is due at the time of purchase, when your sessions begin.
- The second payment is due at the midpoint of your package (before the final sessions), depending on the number of sessions:
- 5-session package → after the 3rd session
- 8-session package → after the 4th session
- 12-session package → after the 6th session
- Also, payment installments are considered only when you as client buy packages over 5 sessions. Individual sessions like one two or anything bellow 5 will be pay upfront.
- Monthly Retainer Subscriptions: If you sign up for a monthly recurring retainer, your credit card will be automatically billed every 30 days. You authorize ongoing recurring charges until cancellation.
- Late Payments: We reserve the right to suspend or terminate coaching services if your payment method fails and a balance remains unpaid for more than 5 business days and you will be liable for paying a reminding balance or unpaid sessions
- Scheduling: Sessions are scheduled by mutual agreement through the coach’s designated booking system. It is the client’s responsibility to manage their calendar and attend sessions on time.
5 – Cancellation, Rescheduling, and Refund Policy
Because coaching reserves dedicated virtual calendar space, the following policies apply strictly:
- Coaching packages are purchased in advance to reserve your dedicated coaching time, ongoing support, and commitment throughout the coaching process.
- If you need to cancel or reschedule a session, please provide at least 24 hours’ notice whenever possible. This helps maintain scheduling availability and ensures respect for both of our time.
- Sessions missed without notice, or cancellations made with less than 24 hours’ notice, are non-refundable.
- No-Show Policy: If you do not join the scheduled 30-minute video call within the first 5 minutes, a 5-minute grace period will be added to your arrival time.
- Please note: While many businesses offer a 15-minute grace period, our sessions are only 30 minutes long. If a client arrives late, there is often not enough time remaining to complete a full and effective session.
- For this reason, we offer a 5-minute grace period. If you arrive within 5 minutes of your scheduled start time, we will still conduct the session for the remaining time. However, if you arrive more than 5 minutes late, the session will be canceled and no refund will be issued.
- A 15 minute grace period will be provided ONLY to standalone 1-hour sessions; when a single session of 1-hour is scheduled independently. This grace period does not apply to sessions of other lengths or to multiple sessions booked together.
- We appreciate your punctuality and look forward to making the most of our time together.
- If a client chooses to discontinue coaching after starting a package, refunds may be issued for any unused sessions only. Completed sessions are non-refundable.
- Refunds are calculated based on the number of remaining unused sessions.
My goal is to maintain a process that is fair, transparent, respectful, and professional for everyone involved.
6 – Intellectual Property
All original worksheets, guides, coaching tools, frameworks, videos, website content, branding, PDFs, handouts, exercises, and proprietary coaching methods created by the Coach remain the sole intellectual property of the Coach and may not be copied, distributed, sold, shared, uploaded, or reused commercially without prior written permission.
From time to time, and only with the Client’s permission, the Coach may offer publicly available educational resources, articles, books, videos, podcasts, websites, or other reputable third-party materials to support the Client’s learning and personal development. These resources are offered solely for educational purposes and to encourage informed decision-making.
The Client is under no obligation to review or implement any suggested resources. Any third-party materials remain the intellectual property of their respective owners, and the Coach does not claim ownership of, endorse, or guarantee the accuracy, completeness, or outcomes associated with those resources.
7 – Confidentiality & Privacy
I deeply respect your privacy and the intimate nature of the coaching relationship.
- All information shared during 1:1 virtual sessions, text messaging threads, or intake forms will be kept strictly confidential.
- Exceptions to Confidentiality: I am legally and ethically obligated to break confidentiality if there is clear evidence of imminent danger or intent to harm yourself or others, or if compelled to do so by a court of law.
- Information shared during coaching sessions is treated as strictly confidential. The Coach utilizes administrative, physical, and technical safeguards modeled after HIPAA privacy principles to protect client information. Confidentiality may be limited if disclosure is required by law, court order, or where there is an imminent, credible risk of harm to the Client or others.
8- Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Health & Wellness Coach — Alex be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your participation in coaching or your use of the website. The total liability of the Company under this agreement shall be limited strictly to the total amount paid by the client for the specific coaching service in question.
The client releases the coach from any and all liability, claims, or demands arising from participation in
coaching services, except where explicitly prohibited by New York law.
Indemnification: The client agrees to defend, indemnify, and hold harmless the coach from any third-party claims, losses, damages, legal fees, or liabilities resulting directly or indirectly from the client’s decisions, actions, omissions, or misuse of coaching information.
9 – Session Recording Policy & Artificial Intelligence Use
Sessions are not routinely recorded. The Coach may begin recording only if circumstances reasonably require documentation, including repeated misunderstandings, inappropriate conduct, abusive or threatening behavior, or the protection of the legal rights or safety of either party. The Client acknowledges and consents to this limited recording policy when signing the agreement.
Recordings remain confidential business records of the Coach. They are never released for personal use or social media. They may be utilized when required by law or when reasonably necessary to protect the Coach’s legal rights (including consultation with legal counsel, liability insurance carriers, arbitration, or court proceedings).
If transcription or AI-assisted note generation tools are used, they will be used solely for internal documentation purposes and protected using reasonable security safeguards. Nothing in this Agreement shall be interpreted as creating an obligation for the Coach to provide or release copies of any recording directly to the Client. Any decision to release a recording remains within the Coach’s reasonable discretion, subject to applicable law, valid legal process, or the limited circumstances described in the Agreement.
10 – Technology & Communication
Sessions are conducted primarily through Zoom. In the event of technical difficulties or internet outages, WhatsApp or another mutually agreed virtual platform may be used to complete the session.
11 – Governing Law
These Terms of Service and any separate agreements shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
12 – Changes to Terms of Service
We reserve the right to update, change, or replace any part of these Terms at any time by posting updates to our website. It is your responsibility to check this page periodically for changes.
